CayMade Vendor Agreement

This Vendor Agreement (“Agreement”) is entered into by and between CayMade
(“Company,” “we,” “our”) and the undersigned vendor (“Vendor,” “you,” “your”). By
registering as a vendor on CayMade’s online marketplace, you agree to the following terms
and conditions:


1. Vendor Registration & Approval
– To start selling on CayMade, simply complete the vendor registration and choose a subscription package.
– CayMade reserves the right to accept or reject vendor applications at its sole discretion.


2. Commission & Fees
– CayMade will retain a 10% commission on the total sales price (excluding shipping costs)
of each transaction made through the platform.
– All other costs (such as product sourcing, packaging, shipping, and duties) are the sole
responsibility of the Vendor.


3. Payments to Vendor
– Payouts of net sales (after deducting commissions and bank fees) will be made to
Vendors on, or around, the 1st and 15th of each month, provided the Vendor’s available
balance is at least KYD 50.
– If the balance is below KYD 50, it will roll over to the next payout cycle.
– Payments will be made via the method designated by CayMade (e.g., bank transfer or other
approved payment methods).


4. Product Listings & Compliance
– Vendors are responsible for accurately describing, pricing, and uploading their products.
– Vendors must ensure that all products comply with applicable Cayman Islands laws and
regulations.
– Prohibited or restricted items may not be sold on CayMade’s platform. CayMade reserves
the right to remove any listing that violates these policies.


5. Order Fulfillment & Customer Service
– Vendors are responsible for fulfilling all orders promptly and ensuring quality control.
– Vendors agree to handle customer inquiries, complaints, and returns in a professional
manner.
– Failure to fulfill orders or repeated customer complaints may result in suspension or
termination of this Agreement.


6. Termination of Agreement
– Vendors may discontinue selling on CayMade at any time by cancelling their subscription.
– CayMade reserves the right to suspend or terminate a Vendor’s account immediately for
non-compliance with this Agreement, illegal activity, or actions that may harm CayMade’s
reputation.

7. Limitation of Liability
– CayMade is not liable for product defects, shipping delays, or disputes between Vendors
and customers.
– Vendors agree to indemnify and hold harmless CayMade from any claims, damages, or
liabilities arising out of their products or business practices.


8. Governing Law
– This Agreement shall be governed by and construed in accordance with the laws of the
Cayman Islands.


9. Entire Agreement
– This document constitutes the entire agreement between CayMade and the Vendor. It
supersedes any prior agreements or understandings, written or oral.


Acknowledgement & Acceptance
By registering as a vendor, you acknowledge that you have read, understood, and agree to
abide by the terms of this Vendor Agreement.
